What you’ll do
CrossBoundary Energy is recruiting a full-time attorney to support its fundraising and investment activities. The successful candidate will work closely with the Chief Legal Officer, senior counsel and the investment team to structure, draft, negotiate, and close financing and fundraising documentation for CBE’s portfolio of energy projects. This role will also involve advising on debt and equity funding structures at both the portfolio and individual project levels, assisting with investor relations, and ensuring corporate and covenant compliance across multiple jurisdictions.
You will engage directly with the investment, finance, and legal teams, and play a key role in enabling the growth of CBE’s capital base and supporting its mission to expand renewable energy access across Africa and beyond.
Primary Responsibilities
Draft, review, and negotiate debt and equity finance documents, including loan agreements, convertible notes, subscription agreements, shareholder agreements, , security agreements, side letters etc.
Support structuring of investment vehicles and capital raising initiatives across jurisdictions
Lead transaction closing processes
Advise internal teams on legal aspects of investor onboarding, fund governance, and compliance
Ensure legal and regulatory compliance of fundraising activities in all relevant markets
Collaborate with external counsel and advisors on fundraising transactions
Maintain and improve legal templates and precedents for fundraising and investment documentation
Monitor investor agreement compliance and reporting obligations
Support investor due diligence processes and respond to legal queries from prospective investors
Qualifications
Required Skills and Experience
3+ years’ post-admission experience in a premier law firm and/or in-house legal department focused on fundraising, investment, or project finance
Experience drafting and negotiating debt and equity finance agreements, shareholder agreements, and broader suite of financing documents including security documents
Familiarity with corporate structuring and investor relations in emerging markets
Strong understanding of project finance and capital raising mechanisms
Law degree with strong academic credentials from an accredited university
Bar admission
Fluency in English; French language skills would be a benefit
Proficiency in Microsoft Office Suite (Excel, Word, PowerPoint, etc.)
Strong organizational skills and ability to manage multiple tasks simultaneously

Location / Travel
The successful candidate would be based in Cape Town, South Africa. The position will require international travel.
